Overview
Kevin Jacobs is a veteran litigator with extensive experience representing publicly traded companies, financial institutions, and private equity-backed businesses in high-stakes litigation across federal and state courts. He regularly serves as lead counsel in complex commercial disputes involving securities, intellectual property, trade secrets, and corporate governance matters, and has secured favorable outcomes in cases valued at hundreds of millions of dollars.
Kevin’s practice includes bet-the-company litigation, internal and government investigations, regulatory enforcement actions, and substantial commercial disputes. He handled countless matters involving the SEC, DOJ, FINRA, the Department of Education, and state attorneys general, advising clients on investigations, compliance obligations, and enforcement proceedings across various sectors.
Before entering private practice, Kevin served as a non-commissioned officer in the U.S. Army Military Intelligence Corps as an intelligence analyst.
Representative Experience
- Defeated a multi-hundred-million-dollar preliminary injunction motion seeking to enjoin the sponsor from receiving or selling shares.
- Won an approximately $15 million arbitral award on an expedited basis on behalf of a government workforce solutions company.
- Enforced a twenty-year-old indemnity provision in a purchase and sale agreement, securing complete indemnification for legacy asbestos-related claims for a publicly traded shipping conglomerate.
- Obtained dismissal of trade secret theft claims involving alleged software misappropriation by a publicly traded company and its subsidiary by proving the plaintiff’s fraud on the court.
- Forced agreement of the opposing party to cease use of its infringing mark permanently by bringing a trademark counterclaim on behalf of a publicly traded education company.
- Represented publicly traded and privately held companies in responding to U.S. Department of Justice, Securities and Exchange Commission, Federal Trade Commission, and state attorney general investigations and enforcement actions.
